ICR Capital expands convertible and equity derivatives team

Tuesday, April 22, 2025
Opalesque Industry Update - ICR, a leading strategic communications and advisory firm, announced today that its broker-dealer affiliate, ICR Capital, has hired Kristina Woodhouse and Gian-Marco Frey as Managing Directors in its Convertible and Equity Derivatives Advisory team. Both join from Matthews South and bring extensive experience advising corporate clients on complex capital structure strategies.

"This is a unique moment in the market, with volatility reshaping how companies think about capital structure," said Syed "Raj" Imteaz, Head of Convertible and Equity Derivatives Advisory at ICR Capital. "Kristina and Gian-Marco bring deep experience and a unique perspective to help management teams and boards make informed decisions around mission-critical transactions. As capital structure optimization reemerges as a priority for many companies, our expanded capabilities will allow us to offer differentiated advice to clients."

Ms. Woodhouse will focus on a broad range of capital markets solutions, including convertible securities, public and private debt, and structured equity derivatives, and will lead ICR Capital's share repurchase advisory efforts. She holds an M.S. and a B.E. in Biochemical Engineering from Dartmouth College and a B.A. in Chemistry / Biochemistry from Colby College.

"ICR's platform is built around trust and independence," said Kristina Woodhouse. "I'm excited to join the only full-service, independent capital markets advisory team on the Street - one that understands the importance of technical insight and objective judgment when it comes to capital markets execution."

Mr. Frey will focus on advising and executing share repurchase programs, including Accelerated Share Repurchases (ASRs) and Enhanced Open Market Repurchases (eOMRs), convertible transactions, and other structured equity solutions, while also developing proprietary software and systems to deliver enhanced insights and analytics to ICR clients. He holds an MSc in Computer Science from ETH Zurich and an M.A. in Quantitative Economics and Finance from University of St. Gallen.

"Having worked across both the trading and advisory sides of the market, I'm thrilled to help build systems that deliver real-time, data-driven capital structure advice," said Gian-Marco Frey. "We have a tremendous opportunity to help clients navigate complexity and market uncertainty with clarity and confidence."

ICR Capital provides corporate management teams, financial sponsors, venture capital firms, and boards of directors with the independent, objective advice and expertise they need to execute a wide range of financial transactions, including IPOs, follow-on offerings, SPAC transactions, block trades, alternative capital raising, and convertible and equity derivatives transactions.

"Kristina and Gian-Marco each bring world-class expertise and a client-first mindset that aligns perfectly with our mission," said JD Moriarty, CEO of ICR Capital. "Their addition strengthens our ability to deliver best-in-class advice across convertibles, derivatives, and capital allocation strategies."

In addition to Ms. Woodhouse and Mr. Frey, ICR Capital also recently hired Matt MacFarlane and John Zanelli, who joined the ICR Capital advisory team from Solebury Capital. These additions put the full ICR Capital team at more than 20 team members.

"ICR Capital continues to attract top-tier talent as we grow our capital markets advisory business," added Mr. Moriarty.
